Please read them carefully before opening an account or using any of our services. By accessing the platform, you confirm that you have read, understood, and agree to be bound by these Terms in full.

By creating a Codela AI account, making a deposit, or otherwise using any part of our platform, you agree to these Terms of Use, our Privacy Policy, and any further guidelines or policies we publish. If you don't accept any part of these Terms, you must stop using the platform immediately.

2. Eligibility

You are solely responsible for everything that happens under your account. Codela AI is not liable for any loss or damage caused by unauthorized access resulting from your failure to keep your account secure.

4. Platform Services

Codela AI offers an AI-powered automated trading platform that lets users invest capital and receive returns generated through algorithmic market activity. Our services include:

• Automated trade execution driven by AI algorithms and market analytics
• Real-time portfolio and performance tracking via a personal dashboard
• Deposit and withdrawal handling through verified payment systems

Codela AI reserves the right to change, pause, or discontinue any feature or service at any time, giving users reasonable notice.

5. Deposits and Minimum Investment

To switch on automated trading features, users must make an initial deposit. The following conditions apply:

• The minimum deposit needed to activate trading is $250 USD
• All deposits must go through the verified and approved payment methods listed on the platform
• Deposits are handled in line with applicable financial regulations and may require identity verification before funds are credited
• Codela AI charges no registration fees — costs are limited to deposits and any applicable transaction fees disclosed at the time of payment
• Deposited funds are held in segregated client accounts and are never used for company operating expenses

6. Withdrawals

Users may request withdrawals of available funds at any time, subject to the following:

• Withdrawal requests are handled within the standard processing times shown on the platform
• Every withdrawal request is subject to identity verification and compliance checks
• Funds are returned to the original payment method used for the deposit wherever possible
• Codela AI reserves the right to delay or hold withdrawals in cases of suspected fraud, regulatory investigation, or unresolved compliance issues

7. Risk Disclosure

• Using the platform for money laundering, terrorist financing, or any other illegal financial activity
• Trying to gain unauthorized access to other users' accounts or to platform systems
• Interfering with or disrupting the platform's technical infrastructure or security
• Using automated bots, scrapers, or scripts to interact with the platform without authorization
• Engaging in market manipulation or anything designed to artificially influence trading outcomes
• Breaking any applicable local, state, federal, or international laws or regulations
• Reproducing, distributing, or commercially exploiting any Codela AI content without written permission

Codela AI reserves the right to suspend or permanently close any account found engaging in prohibited activity, with or without notice, and to report such activity to the relevant authorities.

9. Intellectual Property

All content, technology, branding, design, algorithms, and materials on the Codela AI platform — including logos, text, graphics, software, and data — are the exclusive intellectual property of Codela AI or its licensed partners. You are granted a limited, non-exclusive, non-transferable license to access and use the platform solely for personal investment purposes. Reproducing, modifying, distributing, or commercially using Codela AI intellectual property without our express written consent is strictly prohibited.

10. Limitation of Liability

To the fullest extent the law allows, Codela AI and its officers, directors, employees, partners, and affiliates will not be liable for:

• Any investment losses or financial damage arising from use of our automated trading services
• Indirect, incidental, consequential, or punitive damages of any kind
• Service interruptions, technical faults, or delays beyond our reasonable control
• Unauthorized access to your account caused by your failure to maintain security
• Actions of third-party payment processors, technology partners, or other external providers

Our total liability to you for any claim arising from use of the platform will not exceed the total amount you deposited in the 30 days before the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Codela AI and its affiliates, officers, employees, and agents against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the platform, your breach of these Terms, or your violation of any law or the rights of any third party.

12. Anti-Money Laundering (AML) and KYC Compliance

Codela AI is committed to full compliance with applicable anti-money laundering regulations and financial-crime prevention standards. All users must:

• Complete identity verification (KYC) before making deposits or requesting withdrawals
• Provide valid government-issued ID and proof of address when asked
• Ensure that all funds deposited on the platform come from legitimate sources

Codela AI reserves the right to report suspicious activity to the relevant regulatory and law-enforcement authorities in line with US federal law, including the Bank Secrecy Act (BSA) and applicable FinCEN regulations.

13. Governing Law and Dispute Resolution

These Terms are governed by and interpreted under the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or your use of the Codela AI platform will be resolved as follows:

• Binding arbitration: If informal resolution fails, disputes will be submitted to binding arbitration in Miami, Florida, under the rules of the American Arbitration Association (AAA)
• Class-action waiver: You agree to resolve disputes individually and waive any right to take part in a class action or class-wide arbitration

14. Termination

Codela AI reserves the right to suspend or close your account and access to the platform at any time, with or without cause, including for:

• Breach of these Terms of Use
• Fraudulent, illegal, or suspicious activity
• Failure to complete required identity verification
• Extended account inactivity

Once your account is terminated, your right to access the platform ends immediately. Any available balance will be returned to you after the required compliance checks are complete, subject to applicable laws.

15. Disclaimer of Warranties

The Codela AI platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. To the fullest extent the law allows, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
